NON-PROFIT INCORPORATION CHECKLIST - WASHINGTON

The following is a checklist of the steps to take to incorporate a non-profit in the state of Washington.

It is recommended that you hire a lawyer to help you with the incorporation process. Please contact Cynthia to schedule an appointment


____ Name available and legal in Washington? (See RCW 24.03.045)

____ Drafted mission statement?

____ Drafted bylaws? (See RCW 24.03.070)

____ Appointed board of directors and held first meeting? (See RCW 24.03.095, RCW 24.03.120, RCW 24.03.155)

____ Filed Articles of Incorporation and paid filing fee? (See RCW 24.03.145)
Note: If applying for IRS federal tax exemption, Articles must contain a required purpose clause and dissolution of assets provision.

____ If fund-raising, registered with WA Charities Program?

OR

____ If exempt from Charitable Solicitations Act, filed Optional Statement for an Exempt Organization and paid $20 fee?

____ Filed with IRS for 501(c)(3) tax exempt status (optional for Church)?
IRS form 1023 - Application for Recognition Exemption (optional for Church)

Procured federal employer identification number (EIN)?
Note: must be filed before 501(c)(3) forms submitted to IRS.

Other:

____ Opened bank account for charitable organization?

____ Hired accountant to set up book-keeping system?

____ Found insurance agent for advice on liability insurance, property insurance, staff issues such as worker's compensation, health and life insurance benefits?

____ Procured a mail permit from post office (for discount on bulk mailings)?

____ If hiring employees, procured unemployment insurance from Washington?
